Tata Sons Chairman Chandrasekaran Resigns, Declines 2nd Term As Board Fails To Reach Consensus

New Delhi, Aug 12: N Chandrasekaran, Chairman of Tata Sons, has decided not to seek reappointment when his current term ends on February 20, 2027, after the company’s Board failed to reach unanimous support on extending his tenure.

In a statement issued on Wednesday, Chandrasekaran said the Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously recommended extending his term by five years. The proposal was subsequently recommended by the Tata Sons Nomination and Remuneration Committee and the Board.

However, the proposal failed to secure the required support at a Tata Sons Board meeting held on February 24, 2026. Chandrasekaran said one Board member did not support the proposal and, in the absence of unanimous backing, he chose to defer the decision.

He said six months had passed since the meeting without a resolution, while Tata Sons had several strategic projects at critical stages. Clarity on future leadership, he said, was important for employees, investors, partners and other stakeholders.

“Under these circumstances, earlier today, I have communicated to the Tata Sons Board, that I have decided not to offer myself for reappointment when my term ends on Feb 20, 2027,” he said.

Chandrasekaran also asked the Board to begin the succession process soon to ensure a smooth transition at the top of the group.

His decision brings an end to prolonged uncertainty over his next term. The two Tata Trusts had backed a five-year extension, but the lack of unanimous Board support prevented the proposal from moving forward.

Chandrasekaran said he had completed 40 years of professional life with the Tata Group and described leading Tata Sons for the past decade as “a great honour and a profound responsibility”.

The focus now shifts to the succession process ahead of the end of his current term. (Agencies)
