Dec. 18 (UPI) -- The owner of TikTok has signed an agreement to create a joint venture that will make the popular social media app majority-owned by American investors, the company announced Thursday.

ByteDance and TikTok have signed "binding agreements" with three managing investors: Oracle Corporation, Silver Lake and Abu Dhabi-based MGX, to form a new TikTok U.S. joint venture named TikTok USDS Joint Venture LLC, according to a memo to TikTok staff by CEO Shou Zi Chew reviewed by Variety. The agreement forming the TikTok U.S. joint venture is set to close Jan. 22, 2026.

TikTok has agreed to sell its U.S. operations to an investment group that includes Oracle, Silver Lake, and UAE-based company MGX, reports Axios. The "TikTok USDS Joint Venture LLC" that includes the three companies will own 45 percent of TikTok, while ByteDance will keep close to 20 percent. Existing investors will continue to hold the remaining shares. The U.S. group will handle U.S. data protection and content moderation, while also maintaining algorithm security.

After years of regulatory uncertainty and political pressure, TikTok’s sale of its U.S. operations to a consortium of primarily American investors is now moving toward a 22 January 2026 closing date. The deal follows U.S. legislation, the Protecting Americans From Foreign Adversary Controlled Applications Act, that required ByteDance, TikTok’s Chinese parent company, to divest its U.S. business or face a nationwide ban.

Abu Dhabi's state investment fund will also be a managing investor.
